APPROVE A MOTION AUTHORIZING AN AMENDMENT TO CONTRACT NO. 425000459 WITH TDA CONSULTING INC. TO CONTINUE PROFESSIONAL CONSULTANT SERVICES RELATED TO AFFORDABLE HOUSING PROJECTS

RECOMMENDATION
It is recommended that the City Council approve a motion to:
1. Authorize an amendment with TDA Consulting Inc. in the amount of $171,000 to continue consultant services related to affordable housing programs and projects;
2. Authorize the allocation and appropriation of HOME Investment Partnerships Program (HOME), HOME American Rescue Plan Program (HOME-ARP), Homeless Housing Assistance and Prevention Program (HHAP), Permanent Local Housing Allocation Program (PLHA) and Low- and Moderate-Income Housing Fund (LMIHF) funding for this purpose;
3. Approve findings pursuant to Stockton Municipal Code (SMC) section 3.68.070 in support of an exception to the competitive bidding process; and
4. Authorize the City Manager, or designee, to take appropriate and necessary actions to carry out the purpose and intent of this motion.

Summary
The City of Stockton Economic Development Department (EDD) is seeking to amend a contract with TDA Consulting Inc. to increase the contract amount by $171,000, which will continue to provide review and underwriting services while assisting EDD staff with the implementation of affordable housing funding programs (Attachments A and B). This includes, but is not limited to, financial underwriting of affordable housing projects, amending existing HOME program agreements for regulatory compliance purposes, and providing on-call assistance and programmatic advice related to affordable housing programs and City compliance with funding agency regulations.
DISCUSSION
Background
In February 2025, the City entered into an agreement with TDA Consulting Inc. in the amount of $99,999 to assist the Economic Development Department (EDD) with professional consultant services including, but not limited to, assisting and providing training to staff in 1) addressing HUD’s non-compliance issues related to the HOME Investment Partnerships Program (HOME) funded projects, 2) conducting a review of HOME rental housing projects to assess program compliance, 3) updating the City’s HOME policies and procedures, including underwriting standards, 4) conducting a review of rental housing projects, and 5) providing on-call assistance and programmatic advice to staff related to the City’s HOME rental housing projects (Attachment A - Contract 425000459). EDD issued an informal Request for Proposals (RFP) in November 2024 and received two proposals for the services. TDA was selected based on their expertise and experience with HUD regulations and compliance programs. Their performance thus far with City contracts and compliance improvements has more than met expectations.
Present Situation
As of October 31, 2025, the current contract with TDA Inc. is approximately 75 percent expended, however there remains work to be completed to assist EDD in ongoing program improvements and to continue to address project related items. Staff have identified several tasks to be completed over the next twelve to twenty-four months related to affordable housing activities. Approval of the recommendation will add $171,000 to the current agreement to allow for the continued use of TDA Consulting services. Economic Development staff will use the consulting services to refine current process, programs and guidelines used in implementing federal and state funding for affordable housing.
Findings
Pursuant to SMC section 3.68.070, Council may approve findings which support an exception to the competitive bidding process. These findings include:
1. The City does not have expertise and/or bandwidth to update and improve HOME processes in a timely manner to meet current requirements and recommendations.
2. Use of the RFP process is appropriate for this Professional Services Contract because it relies on the evaluation of professional qualifications and performance as the basis for selection of a vendor. Use of these criteria helps ensure selection of a vendor that will provide the highest quality professional service which is in the public interest.
3. The City negotiated a contract following solicitation of competitive proposals in accordance with SMC section 3.68.070.A.3.
FINANCIAL SUMMARY
The recommended contract amendment will have no financial impact on the General Fund or any other unrestricted funds. The additional $171,000 will be funded through HOME, HOME-ARP, HHAP, PLHA, and LMIHF administrative allowances. There is sufficient budget to support this recommendation.
