APPROVE MOTION TO AUTHORIZE CONTRACT CHANGE ORDER NO. 6 FOR CITY OF STOCKTON CUSTODIAL SERVICES (CITYWIDE)

RECOMMENDATION
It is recommended that the City Council approve a motion to authorize Contract Change Order No. 6, in the amount of $1,078,975.13, with Imperial Maintenance Services, Inc. of Stockton, CA, for City of Stockton Custodial Services, Project No. OM-22-005.
It is also recommended that the City Manager be authorized to take appropriate and necessary actions to carry out the purpose and intent of this motion.

Summary
On June 14, 2022, by Motion No. 2022-06-14-1212, Council awarded a Service Contract, in the amount of $5,147,404.59, to Imperial Maintenance Services, Inc. of Stockton, CA, for routine and specialized custodial services across 23 City-owned or leased facilities.
Contract Change Order (CCO) Nos. 1 through 4, in the total amount of $510,287.67, were previously approved under the administrative change order authority allowed under the original contract. On June 24, 2025, by Motion No. 2025-06-24-1210, Council approved CCO No. 5 in the amount of $1,115,201.26.
CCO No. 6 adds janitorial services at new City facilities, including New City Hall, McKinley and Victory Park pools, Ursula Meyer Library, the Sierra Vista Police Department (PD) Substation, the Animal Wellness and Adoption Center, Central Stores, the Fire Department’s Emergency Communications Division (ECD), and temporary facilities at the Municipal Utilities Department (MUD) Collections and Engineering trailers.
CCO No. 6 also expands services at the Main Library, the new Regional Wastewater Control Facility (RWCF) buildings, and the third floor of the Stewart Eberhardt Building (SEB). CCO No. 6 also removes services at 400 E. Main Street, the former Permit Center, and services at Holiday and Brooking Park pools.
In addition to the operational adjustments, CCO No. 6 includes new contract language to ensure compliance with Senate Bill (SB) 1383, which requires jurisdictions to implement organic waste reduction and recycling programs.
It is recommended that Council approve CCO No. 6, in the amount of $1,078,975.13, with Imperial Maintenance Services, Inc. of Stockton, CA, for City of Stockton Custodial Services, Project No. OM-22-005 (Attachment A). Funding for additional services will be encumbered on a fiscal year basis through the annual budgeting process (Attachment B). The total contract amount will be $7,851,868.65 through Fiscal Year (FY) 2026-27, with the option to extend the contract for two additional years.
DISCUSSION
Background
Public Works is responsible for custodial services at City facilities. The City does not have the staff resources to provide custodial services at all City facilities. Public Works maintains a Service Contract with Imperial Maintenance Services, Inc. for routine and specialized custodial services across 23 City-owned or leased facilities. These services are critical to ensure clean, safe, and functional environments for City staff and the public.
On June 14, 2022, by Motion No. 2022-06-14-1212, Council awarded a multi-year Service Contract, in the amount of $5,147,404.59, to Imperial Maintenance Services, Inc. of Stockton, CA, for City of Stockton Custodial Services, Project No. OM-22-005. The contract expires on June 30, 2027, and allows for the option of two one-year extensions.
CCO Nos. 1 through 4, in the total amount of $510,287.67, were previously approved under the administrative change order authority allowed under the original contract. On June 24, 2025, by Motion No. 2025-06-24-1210, Council approved CCO No. 5 in the amount of $1,115,201.26.
The previously approved CCOs included additional services for the Stockton Animal Services Center, Oak Park pool off-season cleaning, expanded services at the RWCF, Fleet vehicle washing, and other Citywide janitorial services.

FINANCIAL SUMMARY
The Service Contract with Imperial Maintenance Services, Inc. for City of Stockton Custodial Services, Project No. OM-22-005 is funded by various City department operating accounts and is encumbered on a fiscal year basis. The funding for these services has been allocated in the various operating budgets for FYs 2025-26 and 2026-27.
